JBO Systems, LLC Service Agreement
Effective upon acceptance of your Estimate
By accepting the attached QuickBooks Estimate (the "Estimate") through QuickBooks, electronic means, payment of any deposit, or authorization to proceed with work, you (the "Client") acknowledge that you have read, understood, and agree to be fully bound by the terms of this Service Agreement (this "Agreement"). This Agreement is incorporated by reference into the Estimate and forms a binding contract between you and JBO Systems, LLC ("Company," "we," "us," or "our"). No separate signature is required. Your acceptance of the Estimate constitutes your full agreement to these terms.
1.Parties and Scope of Services
This Agreement is between JBO Systems, LLC, a Texas limited liability company ("Company"), and the Client named in the Estimate. The Company will provide the installation, integration, configuration, and related services described in the Estimate (the "Services"), which may include indoor audio systems, WiFi and mesh network installation, outdoor landscape audio, security camera systems, home automation (such as lighting and climate control), structured cabling, equipment setup, testing, and basic training. Services will be performed in a professional, workmanlike manner consistent with industry standards.
The Client must provide safe, unobstructed access to the premises (the "Premises"), utilities, internet, keys and codes, and any required permits or approvals (for example, HOA or landlord). The Company is not responsible for delays, costs, or issues arising from the Client's failure to provide access or approvals. Changes to scope require written agreement (including an updated Estimate) and may increase price or time.
Product Substitutions
The specific makes, models, and product lines listed in the Estimate are selected based on availability and the project details known at the time of quoting. If a product becomes unavailable, discontinued, or back-ordered, or if the specifications, conditions, or requirements of the project change, the Company may substitute a product of equal or greater quality and comparable function without prior notice, and the Estimate price remains in effect. Where a substitution results in a material difference in cost, the Company will notify the Client and adjust the Estimate accordingly.
2.Payment Terms
Payment terms are as stated in the Estimate. Unless otherwise specified:
- A non-refundable deposit (typically 50%) is due upon acceptance.
- Balance is due upon substantial completion (when Services are ready for normal use, even if minor punch-list items remain).
- All payments are non-refundable.
- Late payments accrue interest at 1.5% per month (or the maximum allowed by Texas law).
The Client remains obligated to pay the full agreed amount even if dissatisfied with the Services, subject only to valid warranty claims below. The Company may suspend or terminate Services for non-payment without liability. The Client agrees to pay all collection costs, including reasonable attorneys' fees and court costs, if enforcement is necessary.
3.Warranties: Limited and Exclusive
Product Warranty
Two (2) years from substantial completion on products supplied by the Company against defects in materials or workmanship under normal use. Remedy: repair or replace (at the Company's sole discretion) at no cost for parts and labor (excluding travel).
Service Workmanship Warranty
One (1) year from substantial completion against defects in installation.
Exclusions
Warranties are void in cases of: misuse, abuse, neglect, intentional damage, unauthorized modifications or repairs, power surges, weather or natural disasters, improper maintenance, third-party interference, or compatibility issues with Client equipment or software. Manufacturer warranties apply to third-party products.
To claim: provide written notice within the warranty period with proof and a description. The Company inspects to determine coverage.
DISCLAIMER: EXCEPT AS EXPRESSLY STATED, COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SERVICES AND PRODUCTS ARE PROVIDED "AS IS" AFTER COMPLETION. NO WARRANTY THAT SYSTEMS WILL BE UNINTERRUPTED, ERROR-FREE, 100% SECURE, OR MEET ALL EXPECTATIONS.
4.Service Calls and Maintenance
Post-completion service calls: $50 flat fee per visit plus $150 per hour (in 15-minute increments) for maintenance, troubleshooting, or repairs outside warranty. Travel time is included in the hourly rate. Emergency or after-hours visits may add fees. The Client is responsible for system maintenance per manufacturer guidelines.
5.Limitations of Liability: Critical Protections
The Client acknowledges installations may require cutting, drilling, mounting, or modifications to walls, ceilings, floors, exteriors, or landscaping, which may cause incidental damage (for example, drywall holes, paint scratches, cable runs). The Company is not liable for any drywall repair, painting, patching, cosmetic restoration, landscaping restoration, or other property restoration. The Client assumes full responsibility for such repairs.
Additional Disclaimers and No Liability For:
- Data Security and Breaches: Despite reasonable efforts (such as secure configurations, passwords, and encryption), the Company is not responsible for data breaches, hacking, unauthorized access, data loss, or cyber incidents post-completion. The Client is solely responsible for ongoing security, updates, monitoring, and professional IT protection.
- Security and Surveillance Failures: Cameras and systems do not guarantee intrusion prevention, detection, recording of all events, or capture of incidents. The Company is not liable for intruders, missed events, false alarms, system downtime (such as power or internet outages, tampering, weather, or obstructions), or any resulting losses or damages. Third-party monitoring is recommended.
- Intentional, Weather, or Environmental Damage: No liability for intentional acts, vandalism, misuse, pet or child damage, weather, storms, animals, or environmental factors (such as moisture, heat, or UV on outdoor audio or cameras). The Company will assist with guidance or repairs at the Client's expense.
- Compatibility and Integration Issues: No liability for conflicts with existing or third-party systems, software updates, or future changes.
- Personal Injury and Third-Party Claims: The Client indemnifies the Company against claims arising from Premises condition, Client acts or omissions, or third parties (except the Company's gross negligence or willful misconduct).
- Consequential and Indirect Damages: NO LIABILITY FOR INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES (such as lost profits, data loss, business interruption, or personal injury from reliance on systems), EVEN IF ADVISED.
- Total Liability Cap: The Company's maximum liability is the amount paid by the Client for Services. The Company carries $1,000,000 general liability insurance (certificate available on request).
6.Payment Obligation Despite Dissatisfaction
Payment is due regardless of the Client's satisfaction, subjective opinion, or perceived defects, except for valid, timely warranty claims. The Client may not withhold, offset, or deduct payment for dissatisfaction, delays, or alleged issues without the Company's written agreement. Any dispute must follow the Dispute Resolution process below; non-payment constitutes breach.
7.Indemnification
The Client agrees to indemnify, defend, and hold harmless the Company, its owners, employees, agents, and subcontractors from all claims, losses, damages, liabilities, and costs (including reasonable attorneys' fees) arising from: the Client's breach, Premises condition, Client-provided information or equipment, or third-party claims related to Services (except the Company's gross negligence or willful misconduct).
8.Dispute Resolution
This Agreement is governed by Texas law. Disputes are resolved exclusively in Tarrant County, Texas courts. The prevailing party recovers reasonable attorneys' fees and costs. The parties agree to good-faith negotiation before litigation.
9.Termination and Remedies
The Company may terminate or suspend for non-payment, unsafe conditions, or breach. The Client pays for work completed plus costs. No refunds except as provided.
10.Miscellaneous
- Entire Agreement: This Agreement plus the Estimate constitute the full agreement.
- Severability: Invalid provisions do not affect the others.
- No Assignment: The Client may not assign without consent.
- Independent Contractor: The Company is independent; no agency or employment is created.
- Force Majeure: No liability for delays beyond reasonable control.
- Electronic Acceptance: Binding as an original signature.
Acceptance
By accepting the Estimate in QuickBooks, paying any amount, or authorizing work, the Client confirms agreement to all terms above, including payment obligations even if dissatisfied, limitations of liability, and no personal liability to Justin Borland individually (all liability is limited to JBO Systems, LLC as a Texas limited liability company).
This Agreement is effective upon your acceptance of the Estimate. No further action is required.
